At CecureUs, we often get urgent questions from employees and managers:

“Our management is trying to influence the Internal Committee (IC) proceedings. Is this allowed under the PoSH Act?”

The short answer is no. Management cannot interfere in IC proceedings. The Internal Committee is meant to function independently, and any interference is against the law.

Why Independence Matters

When an employee files a complaint under the PoSH Act, 2013, the IC acts like a judicial body. That means:

It must act fairly and independently.

Its proceedings are confidential and final.

Neither local management nor overseas leadership can change the outcome.

If managers or leaders try to meet the complainant, respondent, or witnesses privately, it undermines the IC’s purpose of ensuring neutrality, objectivity, and fairness.

What the Law Says

Section 16 – Confidentiality

This section strictly prohibits sharing details about the complaint, proceedings, or recommendations.

Any manager who discusses the case with the complainant or respondent directly is violating this rule.

Section 19 – Duties of Employer

The employer must support the IC and not interfere with it.

This support includes providing resources, ensuring safety, and respecting the IC’s independence.

Section 26 – Penalties

Violating the Act can result in fines up to ₹50,000.

Repeat offences lead to higher penalties and can even result in cancellation of business licenses.

In Rashi v. Union of India (2023), the Delhi High Court reinforced this by stating:

“The entire thrust of the complaints committee procedure is that the complainant employees are assured objectivity and neutrality in the inquiry, insulated from the employers’ possible intrusions.”

For Employees

Trust the process; the IC is there to ensure fairness.

Speak up if you believe management is interfering— the law supports you.

Know your rights: Confidentiality and neutrality are guaranteed under the PoSH Act.

For Managers

Do not intervene. Even if you want to “help,” getting involved directly can put the company at risk.

Support without swaying. Give the IC resources and space but never try to influence the outcome.

Respect confidentiality; avoid discussions with complainants, respondents, or witnesses.

Key Takeaways

The IC is an independent body under the PoSH Act.

Confidentiality is essential.

The employer’s role: Assist and empower, not interfere.

Interference amounts to a violation, with legal and reputational consequences.

Bottom line

At CecureUs, we remind every organization that PoSH compliance is not just about having a policy. It’s about respecting the independence of the IC.
Management interference not only weakens trust, but it also breaks the law.

A few days ago, I shared a post on my LinkedIn that generated intense conversation.

“Even a $1.3 billion astronomer CEO can’t escape the black hole of bad behavior—HR will always be the gravity check.”

It wasn’t just a clever metaphor. It was a reminder that no matter how visionary or valued a leader may be, no one is above the ethical code of the workplace.

Yet history keeps repeating itself.

Why This Blog Matters: Because History Keeps Repeating Itself

This isn’t the first time a leader at the top has blurred personal choices with professional power—and it won’t be the last unless we learn from it.

Here are a few examples:

Bill Clinton and Monica Lewinsky – A sitting President involved in a relationship with a young intern. The imbalance of power was undeniable, even if the relationship appeared consensual.

Travis Kalanick, ex-CEO of Uber – Under his leadership, Uber’s culture was described as aggressive and toxic, with allegations of gender discrimination and harassment exposing deep cultural flaws.

Phaneesh Murthy, ex-CEO of iGATE – Forced to resign twice in his career over sexual misconduct allegations involving subordinates, despite being a high-performing executive.

Rakesh Sarna, ex-MD of Indian Hotels (Taj Group) – Ousted following an internal complaint of sexual harassment from a junior colleague.

The pattern is clear: brilliant leaders, powerful positions, personal boundaries crossed, and a price paid—eventually.

The cost? Not just careers, but reputation, team morale, and company culture.

The Real Issue Isn’t Just the Relationship—It’s the Power

Many justified the relationship by saying, “It was consensual.”

But consent isn’t always clear when there’s a power imbalance. When one person controls the other’s career progression, pay, and performance reviews—is that really an equal relationship?

In this case, the CEO and the HR head were romantically involved. It’s not just about two adults making a choice—it’s about what that choice signals to the entire organization.

What happens to employees who’ve been raising ethical concerns? What message are we sending to individuals who feel uncomfortable but powerless?

The Fallout: One Gets a Parachute, the Other Gets a Stigma

In many such cases, the superior walks away with a golden parachute—a soft landing, a reputation rehab, and sometimes, a cushy board seat within months.

But the other person often bears the brunt. They are labelled, socially isolated, and struggle to rebuild credibility. If there was any coercion masked as consent, their story may never be heard.

The wider impact is on the team. Many employees lose faith in leadership, question the company’s values, and quietly disengage or exit. The cultural cost is far greater than the media headlines.

Defining the Workplace: It’s Not Just About Office Hours

A common argument I saw was, “What people do after work is their personal business.”

But the workplace is not limited to your desk or your timesheet. It includes the entire system of hierarchy, influence, and power. Even if something occurs outside work hours—if it involves misuse of authority, conflicts of interest, or perceived favoritism—it becomes a workplace concern.

When you carry your power beyond office walls, your responsibility follows too.
You are still colleagues throughout the “course of employment,” not just within office premises.

One Question I Always Ask Leaders

Ethics can often feel complicated. But I’ve found one question that cuts through all the grey:

“Would your child or family be okay knowing you did this?”

If the answer is no, it’s a clear sign that something about the act isn’t aligned with who you want to be—not just as a leader, but as a person.

Is the Blame Gendered?

One person raised a provocative point: “Why is the man being blamed while the woman in HR gets a pass?”

It’s a reminder that accountability must be equally distributed. Both individuals held senior roles, and both bear responsibility. The gender of the person in power shouldn’t sway public perception or consequences.

That said, it is often the superior—regardless of gender—who takes the fall first, and rightly so, because they hold the greater position of power and responsibility.

Where Was the System?

The silence of bystanders was also questioned: “HR head and their team wasn’t the gravity check! Others knew and ignored as well.”

This comment draws attention to organizational blind spots. If others in leadership were aware and turned a blind eye, the issue is no longer about just two individuals—it becomes a failure of compliance, oversight, and values at both the board and organizational levels.

What Every Leader and HR Must Take Away

Power doesn’t excuse poor judgment—if anything, it raises the bar.

Relationships across hierarchies must be declared, assessed, or avoided.

HR must be a watchdog for culture—not a bystander.

Accountability must be transparent and consistent—regardless of designation.

Genius without integrity is a liability—not an asset.

Code of conduct training and whistleblowing mechanisms must be stronger.

In Closing

From the White House to the C-Suite, these patterns show us that even the most brilliant minds are susceptible to ethical lapses—especially when accountability is weak.

This blog isn’t about moral policing. It’s about calling out the structural silence around the abuse of power.

Because when leadership fails to draw the line, the damage trickles down to everyone else.

Ethics, trust, and respect must be non-negotiable—not optional—no matter how powerful, popular, or profitable you are.

Because in the end, it’s not about what you achieve—it’s about what you stand for.

Welcome to our comprehensive guide on the Compliance Laws enforced under the Code of Business Conduct (COBC) for corporate India. This blog post aims to elucidate the pivotal regulations that companies in India must navigate to ensure ethical operations and uphold their corporate governance standards. Let’s dive into the legal framework that shapes the backbone of COBC and explore how businesses can adhere to these standards effectively.

What is COBC?

The Code of Business Conduct (COBC) represents a fundamental set of principles that outline the ethical and legal standards expected of employees and executives in an organization. While COBC itself is not a law, it requires adherence to all applicable laws and helps companies foster a culture of integrity and compliance.

Key Compliance Laws in Corporate India

Here are some critical laws that are typically integrated into an organization’s COBC to ensure legal compliance and ethical business practices:

Companies Act, 2013

This comprehensive legislation governs corporate affairs in India and mandates standards for board accountability, audits, director responsibilities, and financial disclosures, ensuring that businesses operate transparently and are accountable to their stakeholders.

Competition Act, 2002

This act ensures fair competition and regulates anti-competitive practices in the marketplace. It addresses issues like anti-competitive agreements, abuse of dominant position, and merger regulations to promote healthy market competition.

Prevention of Corruption Act, 1988

This act combats bribery and corruption in both public and private sectors. Under COBC, companies ensure mechanisms are in place to prevent any form of corruption and maintain transparency in all transactions.

Prevention of Sexual Harassment (POSH) Act, 2013

This act requires companies to create a safe workplace by preventing and responding to incidents of sexual harassment. Incorporating POSH guidelines into COBC helps businesses protect their employees and promote a respectful work environment.

Information Technology Act, 2000

With cybercrimes on the rise, complying with the IT Act is essential for protecting sensitive information and managing data privacy. COBC frameworks ensure that IT policies comply with legal standards to safeguard electronic data effectively.

Factories Act, 1948

This act covers labor welfare and safety in industrial establishments, setting standards for working conditions, safety, and health. Incorporating this into COBC ensures compliance with safety regulations and promotes a secure working environment.

Securities and Exchange Board of India (SEBI) Regulations

SEBI regulations are vital for maintaining fair trading practices and ensuring transparency in the securities market. They include rules on insider trading, disclosure requirements, and corporate governance, which are integral to a company’s COBC to foster a transparent and fair marketplace.

Model Standing Orders

Overview

Model Standing Orders serve as a statutory framework that outlines standard employment conditions within an industrial establishment. They cover various aspects of employment such as classifications of workers, work hours, shift operations, leaves, termination, and grievance redressal procedures.

Applicability

These orders are particularly relevant for factories, plantations, and other industrial sectors that employ a significant number of workers. They ensure that all workers are aware of their duties and responsibilities, as well as the administrative processes and ethical standards expected of them.

Implementing COBC in Your Organization

To effectively implement a COBC, a company must:

Educate Employees: Regular training sessions on COBC and the related legal requirements are crucial for ensuring that employees understand their ethical obligations and legal responsibilities.

Monitor and Enforce: Establishing a robust monitoring system and strict enforcement mechanisms are key to ensuring compliance with COBC.

Review and Update: As laws and regulations change, the COBC should also be periodically reviewed and updated to remain compliant with the latest legal standards.

Conclusion

For companies operating in India, integrating these compliance laws into their COBC is not just about legal adherence but also about building trust and credibility with stakeholders. By fostering an ethical culture that prioritizes compliance, businesses can navigate the complexities of corporate governance with confidence and integrity.

Remember, a well-implemented COBC not only protects the organization from legal risks but also enhances its reputation, ensuring long-term success. Let’s embrace these practices to create a more accountable and transparent business environment in India.

Dealing with Code of Conduct violations is a critical aspect of maintaining a safe, respectful, and productive workplace. When employees breach these guidelines, it can disrupt the workplace environment, impact morale, and potentially harm an organization’s reputation. Effectively handling these violations requires a clear, consistent approach that not only addresses the misconduct but also reinforces the importance of adhering to ethical standards. Let us explore the best practices for managing Code of Conduct violations, ensuring that organizations can navigate these challenges with integrity and fairness, while fostering a culture of accountability and respect.

Understanding Code of Conduct Violations

“A code of conduct violation occurs when an employee fails to adhere to the established rules and guidelines that define acceptable behavior within an organization. These violations can range from minor infractions, like inappropriate dress, to severe issues such as harassment or fraud.”

“It’s crucial for organizations to have a clear process for identifying and handling these violations to maintain a safe and ethical workplace.”

Steps to Handle Code of Conduct Violations

Here are the key steps to handle code of conduct violations effectively:

1. Identify the Violation: The first step is to recognize and document the violation. This involves gathering facts and evidence to understand the nature and severity of the issue.

2. Investigate Thoroughly: Conduct a fair and thorough investigation. This includes interviewing witnesses, reviewing relevant documents, and ensuring confidentiality to protect all parties involved.

3. Assess the Impact: Determine the impact of the violation on the individual, the team, and the organization. Consider factors like legal implications, reputation, and workplace morale.

4. Take Appropriate Action: Based on the investigation’s findings, decide on the appropriate disciplinary action. This could range from a verbal warning to suspension or termination, depending on the severity of the violation.

5. Communicate the Outcome: Inform the involved parties of the investigation’s results and the actions taken. Ensure transparency while maintaining confidentiality where necessary.

Preventing Future Violations

To prevent future violations, organizations should take proactive measures:

1.Regular Training: Provide ongoing training on the code of conduct, emphasizing its importance and the consequences of violations.

2.Clear Reporting Channels: Establish clear and accessible channels for employees to report violations without fear of retaliation

3.Reinforce a Positive Culture: Promote a culture of integrity and respect, where employees feel valued and encouraged to uphold ethical standards.

Legal Considerations in India

In India, organizations must comply with laws such as the Prevention of Sexual Harassment (PoSH) Act and the Companies Act when handling code of conduct violations. Adhering to these legal requirements is crucial for protecting the organization and its employees.

Conclusion: Emphasizing Effective Management

Addressing Code of Conduct violations swiftly and effectively is essential for upholding the integrity and values of any organization. By implementing clear procedures, providing ongoing training, and fostering open communication, companies can manage these incidents in a way that reinforces their commitment to a respectful and ethical workplace.

Introduction:

Ethical dilemmas are situations where we’re forced to choose between two or more conflicting values, principles, or loyalties. We may encounter them both personally & professionally, and how we handle them can have significant consequences. Let us explore some real-life scenarios of ethical dilemmas at workplace and guidance on how to navigate them.

Example 1: Confidentiality vs. Honesty:

As a manager, you discover that an employee is falsifying their timesheets. However, the employee confides in you that they’re struggling financially and need the extra hours to make ends meet. Do you:

– Keep the employee’s secret and risk compromising your integrity and the company’s policies?

– Report the fraud and potentially exacerbate the employee’s financial struggles?

Handling it:

Consider the context and potential consequences of your actions.

Explore alternative solutions, such as offering support or resources to help the employee manage their finances.

Prioritize honesty and transparency while also showing empathy and understanding.

Example 2: Personal Beliefs vs. Professional Obligations

As a healthcare provider, you’re asked to perform a procedure that goes against your personal beliefs. Do you:

– Refuse to perform the procedure and risk compromising patient care?

– Perform the procedure and compromise your personal values?

Handling it:

Seek guidance from colleagues or mentors.

Consider the patient’s needs and well-being.

Explore alternative solutions, such as referring the patient to another provider.

Example 3: Loyalty vs. Whistleblowing

You learn that your business is involved in unethical activities that could have a negative impact on the environment. Do you:

– Keep quiet and maintain your loyalty to the company?

– Speak out and risk facing retaliation or damaging your professional reputation?

Handling it:

Consider the potential consequences of your actions.

Seek support from colleagues or external organizations.

Prioritize your personal values and the greater good

Example 4: Friendship vs. Professionalism

A close friend and colleague is struggling with their workload and asks you to cover for them. However, doing so would require you to bend the rules and compromise your own workload. Do you:

– Help your friend and risk compromising your own professionalism?

– Prioritize your own workload and risk straining your friendship?

Handling it:

Consider the severity of your friend’s workload struggle and the potential consequences of not helping.

Evaluate the impact on your own workload and professionalism if you were to help.

Think about alternative solutions that might benefit both parties.

Example 5: Personal Gain vs. Company Interests

You’re a sales representative and have the opportunity to secure a lucrative deal that would significantly boost your commission. However, the deal would require you to compromise on the company’s quality standards. Do you:

– Prioritize your personal gain and risk compromising the company’s reputation?

– Uphold the company’s quality standards and potentially miss out on the deal?

Handling it:

Consider the potential damage to the company’s reputation and customer trust if you compromise on quality standards.

Reflect on your own values and whether prioritizing personal gain over company interests aligns with your principles.

Explore options that meet both your sales targets and the company’s quality standards.

Conclusion:

If all the above solutions of handling ethical dilemmas do not suffice, think about the consequences of your action being reported to the HR or the ethics committee. Ethical dilemmas can be challenging, but by considering the context, exploring alternative solutions, and prioritizing our values and principles, we can navigate them with integrity and confidence. Ethical leadership is about making tough choices and standing by our principles, even when it’s difficult.
